Howse Williams, a leading Hong Kong independent law firm, advised the offeror BETAGRO FOODS (SINGAPORE) PTE. LTD. (the “Offeror”), as its Hong Kong legal advisors, on the privatisation of Eggriculture Foods Ltd. (“Eggriculture”) (the shares of which were listed on GEM of The Stock Exchange of Hong Kong Limited (Stock Code: 8609)) by way of a scheme of arrangement (the “Scheme”) under section 86 of the Cayman Companies Act at an aggregate consideration of approximately HK$570 million. The Scheme took effect on 2 January 2025 and the listing of the shares of Eggriculture was withdrawn with effect from 4:00 p.m. on 6 January 2025.
Eggriculture principally engages in the production and sale of fresh eggs and processed egg products in Singapore. The Offeror is majority-controlled by Betagro Public Company Limited, a leading integrated agro-industrial and food company based in Thailand and the shares of which are listed on The Stock Exchange of Thailand (Stock Code: BTG).

The team provided advice to the Offeror on corporate and regulatory issues, and was involved in the preparation of various legal documentation and general transaction management.
